Terms of Service, Assumption of Risk, Liability Waiver, and Charge Authorization Agreement.

Effective Upon Participation and Entry into Infinity LA Premises

This Membership Terms of Service, Assumption of Risk, Liability Waiver, and Charge Authorization Agreement (“Agreement”) is entered into between Infinity LA (“Infinity LA,” “Company,” “we,” “us,” or “our”) and the undersigned individual (“Member,” “you,” or “your”).

By providing your personal information, checking any acceptance box, signing electronically or physically, submitting payment, entering the premises, and/or participating in any Infinity LA activity, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. Membership and Member Services

Infinity LA is a private, members-only boxing studio.

By submitting payment, you become a Member of Infinity LA and are granted access to member-only services, including participation in Infinity Boxing Fight Night and other related boxing and fitness activities.

Membership fees are paid solely for access to private member services. Infinity LA does not sell tickets to the public and does not operate as a public event venue.

2. Entertainment-Only Activity; Not a Professional or Amateur Competition

Infinity Boxing Fight Night is conducted strictly for entertainment, recreational, training, and educational purposes only.

By participating, you understand and agree that:

  • Fight Night is not a professional, amateur, sanctioned, or regulated boxing competition.

  • Participation is voluntary.

  • Activities are intended solely for fun, entertainment, fitness, training, and personal development.

  • No representation is made that Fight Night is supervised or regulated by any athletic commission.

You voluntarily choose to participate with full knowledge of the risks involved.

3. Assumption of Risk

Boxing, sparring, striking, conditioning, and all related activities involve inherent and significant risks, including but not limited to:

  • Cuts, bruises, and contusions

  • Sprains and strains

  • Broken bones

  • Dental injuries

  • Concussions and traumatic brain injuries

  • Permanent disability

  • Death

By participating in any Infinity LA activity, including Infinity Boxing Fight Night, you knowingly and voluntarily assume all risks, known and unknown, foreseeable and unforeseeable, associated with your participation.

4. Release of Liability and Waiver of Claims

To the fullest extent permitted by law, you hereby release, waive, and discharge Infinity LA, its owners, managers, instructors, coaches, employees, contractors, affiliates, members, guests, and agents from any and all claims, demands, damages, liabilities, costs, and causes of action arising out of or related to:

  • Personal injury

  • Bodily harm

  • Illness

  • Property damage

  • Emotional distress

  • Disability

  • Death

This waiver applies regardless of whether such claims arise from ordinary negligence or otherwise, to the fullest extent permitted by applicable law.

You understand and agree that you participate entirely at your own risk.

5. Fight Night Specific Injury Waiver

By participating in Infinity Boxing Fight Night, you expressly:

  • Accept full responsibility for any injury or bodily harm you may sustain.

  • Assume all risks associated with sparring and boxing activities.

  • Waive any right to hold Infinity LA liable for injuries, damages, or losses of any kind.

  • Acknowledge that physical contact and injury are inherent parts of participation.

6. No Medical Supervision

Infinity LA does not provide medical services or medical supervision.

You are solely responsible for:

  • Determining your fitness to participate.

  • Obtaining medical advice if necessary.

  • Securing your own health insurance.

  • Paying any medical costs arising from participation.

7. Food, Beverage, and Alcohol Disclaimer

Infinity LA does not sell, furnish, or provide:

  • Food

  • Beverages

  • Alcohol

  • Supplements

  • Any consumable products

Members are solely responsible for anything they consume before, during, or after participation.

Infinity LA is not responsible for any injury, illness, impairment, or damages related to the consumption of any food, drink, alcohol, medication, supplements, or substances brought or consumed by members or guests.

8. Member Conduct and Personal Responsibility

You agree that you are solely responsible for your actions, decisions, conduct, and participation while on the premises or involved in any Infinity LA activities.

Infinity LA is not responsible for:

  • Your behavior or decisions

  • The behavior of other members

  • Lost, stolen, or damaged property

  • Injuries caused by other participants

9. Payment Authorization and No Chargebacks

By providing payment information and submitting payment, you authorize Infinity LA to charge your selected payment method for all membership fees and related charges.

You expressly agree that:

  • All payments are final.

  • Membership fees are non-refundable unless required by law.

  • You waive any and all rights to dispute, reverse, contest, or charge back any payment.

  • You agree not to initiate any chargeback or payment dispute with your bank or credit card provider.

If you initiate a chargeback or payment dispute in violation of this Agreement, Infinity LA may pursue all available legal remedies, including collection of:

  • The disputed amount

  • Bank and processing fees

  • Collection costs

  • Attorneys’ fees

  • Court costs

10. Private Membership Organization

Infinity LA operates as a private membership organization. Access to the facility and services is limited exclusively to approved members in good standing.

Membership may be suspended or terminated at Infinity LA’s sole discretion.

11. Indemnification

You agree to indemnify, defend, and hold harmless Infinity LA and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including attorneys’ fees, arising out of:

  • Your participation

  • Your conduct

  • Your breach of this Agreement

12. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles.

13. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Infinity LA regarding your membership and participation and supersedes all prior discussions or agreements.

15. Electronic Acceptance and Binding Effect

You agree that checking an acceptance box, submitting payment, entering the premises, or participating in any Infinity LA activity constitutes your electronic signature and creates a legally binding agreement.

Member Acknowledgment and Acceptance

By checking the box stating “I Agree”, submitting payment, entering Infinity LA premises, and/or participating in any Infinity LA activity, including Infinity Boxing Fight Night, you acknowledge and agree that:

  1. You have read and understand this Agreement in its entirety.

  2. Infinity Boxing Fight Night is for entertainment, recreational, and training purposes only and is not a sanctioned competition.

  3. You voluntarily assume all risks of participation, including the risk of serious injury, permanent disability, or death.

  4. You release and waive all claims against Infinity LA and its owners, employees, contractors, affiliates, and agents.

  5. You waive any right to dispute or charge back any payments made to Infinity LA.

  6. Infinity LA does not provide or sell food, beverages, or alcohol.

  7. You agree to be legally bound by all terms and conditions of this Agreement.


By accepting, I confirm that I have read, understand, and agree to the Infinity LA Membership Terms of Service, Assumption of Risk, Liability Waiver, and Charge Authorization Agreement.
